CNRD2002 Ltd - Non-Executive Director
CNRD2002 Ltd is a non-profit making company limited by guarantee which maintains a database of patients who have registered an adverse blood testing result to a medical drug known as clozapine for patients with schizophrenia for which it is said to be extremely effective. Contribution of data to this Central Non Re-challenge Database ("CNRD") is a requirement on any pharmaceutical company which has a licence to market this drug imposed by the Medical Health Regulator for reasons of patient safety. The Company consists of three members who are commercial pharmaceutical companies all of whom hold a Marketing Authorisation for this medicine and are competitors in the market place
Title: Non-Executive Director ("NED")
Period: An initial contract for three years.
The Company is looking to recruit another non-executive director on a quasi-voluntary basis to become involved in advance for when the Chairman steps down in May 2017. The board has identified that one of the skills that would add value to the board would be someone who has an IT or related background/interest. However a lack of this experience would not be a limiting factor for the right candidate.
The full board consists of three executive directors, each of whom is nominated by the member company who employs them, as well as three independent non-executive directors. In 2009, the executive directors made a decision to bring in non-executives as there were a number of occasions where they, as nominees of their employers, were too conflicted to make a decision on certain issues.
The board meets between four and six times per year at the Kinetic Business Centre in Elstree, Hertfordshire and meetings take up approximately half a day but can go on longer from time to time.
Jenny Arwas MBE is Chair of the Board. Jenny spent 36 years of her career working within British Telecom. As a Human Resources Director she has extensive experience in human resources at a senior level and achieved a successful track record in driving the transformation of the HR function to become a leading edge consultancy influencing business at the highest levels. She is recognised for strong results with expertise in major change management across the BT Group. Jenny is involved in supporting a number of charities and she was awarded an MBE in 2008 for services to charity.
Richard Vardy is experienced in governance and financial regulation from his background in banking having worked for Investec Bank as Group Company Secretary for 14 years where he was actively involved in the Bank's growth via acquisition and business development which led to its dual listing on the Stock Exchanges in the UK and South Africa. Richard's other roles have included Deputy Chairman of the London Money Market Association and he is currently involved in other part time positions in the not for profit sector.
Keith Jones has over 37 years' experience in the insurance and reinsurance industry in both underwriting and broking. The majority of Keith's career has been spent in senior executive positions within the HSBC Group's insurance sector where he has developed a specific expertise in crime and professional liability products for the financial services industry. Apart from Keith's role with the Company, he is also involved with Debra, a UK charity working with families affected by Epidermolysis Bullosa (EB) as a National Committee Member.
Willem van Rijn is the Managing Director and has been one of the owners for over 20 years of one the three members of the Company which is based in Holland. His involvement with CNRD2002 Ltd dates from its incorporation in 2003.
Christine Needham is the Head of the Medical Collaboration Centre (MCC) of one of the members of the Company which is a multi-national pharmaceutical company. In her role Christine provides senior leadership, operational control and overall accountability for all services provided by the teams in Medical Information Services, Patient Monitoring Service, Compliance training and Biometric Services.
Third Executive Director
An Executive Director is to be appointed shortly from the third member company.
The post of non-executive director is essentially a voluntary one however a salary of £5,000 per annum is paid quarterly to cover expenses and some of the time expended which is expected to take up an approximate equivalent of 2 days per board meeting.
